This agreement is entered into between WTS NET INDIA PVT LTD AND LTPAY for the provision of software services.
Provider shall provide Client with access to and use of the software as described in Exhibit A attached hereto.
Client shall pay Provider the fees as set forth in Exhibit B attached hereto, in accordance with the payment schedule specified therein.
The term of this Agreement shall commence on the Effective Date and shall continue until terminated as set forth herein. Either party may terminate this Agreement upon written notice to the other party in the event of a material breach.
All intellectual property rights in and to the software shall remain with Provider. Provider grants Client a non-exclusive, non-transferable license to use the software for the term of this Agreement.
Each party agrees to maintain the confidentiality of the other party's confidential information and to not disclose such information to any third party without the other party's prior written consent.
Provider shall process any personal data in accordance with applicable data protection laws and regulations.
Provider warrants that the software will perform materially in accordance with its documentation. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH HEREIN, PROVIDER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Provider shall indemnify, defend, and hold harmless Client from and against any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with any claim that the software infringes any third-party intellectual property rights.
This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any dispute arising out of or in connection with this Agreement shall be finally settled by arbitration in accordance with the rules of [Arbitration Institution], and the award rendered by the arbitrator(s) shall be final and binding upon the parties.
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and discussions between the parties relating to the subject matter hereof.
